TERMS OF USE

The Website (defined below) is provided by Monlove Enterprises Inc. (collectively, “Monlove”, “we”, “our”, or “us”). These Terms of Use (this “Agreement”) govern your use of the Website, regardless of how you access or use it. By “Website”, we mean monlove.com and all features, applications, content, and downloads that are operated by us and available through it.

IF YOU ARE UNDER THE AGE OF MAJORITY in your province or territory of residence, your parent or guardian should be aware that you are using the Website, as this Agreement and your use of the Website may affect their legal rights and obligations.

Each time you access or use the Website (other than simply to read this Agreement), you agree to be bound by it and any Additional Terms (defined below). Do not use the Website if you do not agree to all of its terms.

In some instances, separate guidelines, rules, or terms specific to a service, promotion, or product offered via the Website will apply in addition to this Agreement (“Additional Terms”). Where there is a conflict, the Additional Terms will control unless they expressly state otherwise. Please also review our Privacy Policy.

WEBSITE CONTENT, OWNERSHIP, AND LIMITED LICENSE

  1. Content  The Website contains materials relating to Monlove and its productions, services, and events, and similar items from our licensors and other third parties, including layout, text, data, images, scripts, librettos, music, lyrics, choreography, artwork, scenic and costume designs, photographs, videos, graphics, button icons, the “look and feel” of the Website, and any related software (collectively, “Content”), as well as trademarks, logos, trade names, and service marks of Monlove and other parties (“Trademarks”).
  2. Ownership  Many of Monlove's productions are created under license from third-party rights holders (for example, the properties behind our stage productions). Content relating to those productions remains the property of the applicable licensor, and Content relating to Monlove's own productions, brand, and original creative work is owned by Monlove. The Website, and the selection, compilation, and arrangement of Content on it, is protected by copyright, trademark, and other intellectual property laws of Canada and other countries. Using the Website does not give you any ownership interest in it or in the Content.
  3. Limited License  Subject to your compliance with this Agreement, Monlove grants you a limited, non-exclusive, revocable, non-transferable licence to view, display, and print one copy of the Content, on a personal device, for your personal, non-commercial use only. This licence does not grant you any ownership of the Content and may be suspended or terminated at any time, in Monlove's sole discretion.
  4. Rights of Others In using the Website, you must respect the intellectual property and other rights of Monlove, its licensors, and third parties. Unauthorized use of Content may violate copyright, trademark, privacy, or other laws.

CONTENT YOU SUBMIT AND COMMUNITY GUIDELINES

User-Generated Content The Website may allow you to submit messages, photos, videos, casting materials, comments, or other content (“User-Generated Content”) — for example, through contact forms, casting or audition submissions, or social media tags. Except as described in our Privacy Policy, User-Generated Content is treated as non-confidential. By submitting it, you grant Monlove a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, and distribute that content in connection with operating, evaluating, and promoting the Website and Monlove's productions. You represent that you have the rights necessary to submit the content, and — where a minor appears in or contributed to it — that you are that minor's parent or legal guardian or have their express, written consent.

Community Guidelines When submitting content or otherwise interacting with the Website, you agree that you will not:

Submit content that belongs to someone else and pass it off as your own, or include images, video, or likenesses of other identifiable people without their permission;

  • Use the Website for commercial, political, or unlawful purposes;
  • Post content that is defamatory, obscene, harassing, threatening, or discriminatory;
  • Impersonate any person or misrepresent your affiliation with Monlove or any other party;
  • Share another person's personal information without their consent; or
  • Transmit viruses, malware, or other harmful code.

Monlove is not obligated to monitor submissions, but may review, remove, or decline to use any User-Generated Content at its discretion, including to enforce these Community Guidelines or to comply with a legal request.

WEBSITE AND CONTENT USE RESTRICTIONS

You agree not to:

  • Use the Website for any commercial or political purpose;
  • Interfere with the operation of the Website or attempt to bypass its security features;
  • Reverse engineer, decompile, or disassemble any part of the Website;
  • Use automated tools (bots, scrapers, crawlers) to collect, index, or reproduce Website content, or to train artificial intelligence or machine learning models, without our prior written consent;
  • Frame or mirror any part of the Website without prior written authorization; or
  • Remove any copyright, trademark, or other proprietary notice from the Content.

Monlove may suspend or discontinue the Website, or any part of it, at any time and without liability. All rights not expressly granted in this Agreement are reserved by Monlove and its licensors.

COPYRIGHT INFRINGEMENT NOTICES

If you believe your copyrighted work has been posted on the Website without authorization, please send a written notice to termsofuse@monlove.com that includes: (1) a description of the copyrighted work you claim has been infringed; (2) the location (URL) of the allegedly infringing material; (3) your name, address, and contact information; (4) a statement that you have a good-faith belief the use is unauthorized; (5) a statement, made under penalty of perjury, that the notice is accurate and that you are the copyright owner or authorized to act on their behalf; and (6) your signature. We will respond to well-founded notices, including by removing or disabling access to the material, and will forward the notice to the person who submitted it.

OTHER INTELLECTUAL PROPERTY INFRINGEMENT NOTICES

If you believe your trademark or other intellectual property (other than copyright) has been infringed via the Website, send a written notice to termsofuse@monlove.com describing the right you claim is infringed, the location of the material, your contact information, and a statement of good faith made under penalty of perjury. We will act on such notices at our discretion.

 UNSOLICITED IDEAS AND MATERIALS

Monlove does not accept or consider unsolicited ideas, pitches, or materials for productions, shows, scripts, or similar creative works. Please do not send us unsolicited ideas or materials in any form. If you do, they will be treated as non-confidential User-Generated Content under Section 2 above, and your submission does not create any confidential, fiduciary, or other special relationship between you and Monlove, or any obligation for Monlove to compensate you, even if Monlove later develops something similar independently.

ACCOUNTS AND REGISTRATION

Certain features of the Website (such as newsletter sign-ups or casting portals) may require you to register. You agree to provide accurate, current information, to keep your login credentials confidential, and to notify us promptly at termsofuse@monlove.com of any unauthorized use of your account. We may suspend or terminate accounts that provide false information or violate this Agreement.

PURCHASES

If you purchase tickets, merchandise, or other products or services through the Website or a linked third-party vendor, you will be asked to provide payment and contact information, which is handled as described in our Privacy Policy. You represent that you are authorized to use the payment method provided. Prices, availability, and promotional offers are subject to change without notice, and refunds or exchanges are subject to the applicable venue's, promoter's, or vendor's policies. Monlove is not responsible for transactions completed on a third-party vendor's website.

LINKS BY YOU TO THE WEBSITE

You may link to the Website using text links, provided the link and your site do not suggest an affiliation with, or endorsement by, Monlove, and do not portray Monlove or its productions in a false or misleading way. We may withdraw this permission at any time.

LINKED WEBSITES, ADVERTISEMENTS, AND THIRD PARTIES

The Website may link to third-party websites, including those of our licensors, partners, or advertisers. We do not control and are not responsible for the content or privacy practices of those sites. Any dealings you have with a third party found through the Website — including purchases, ticketing, or promotions — are solely between you and that third party.

MOBILE AND TEXT COMMUNICATIONS

If you opt in to receive text messages from Monlove (for example, in connection with a promotion), standard messaging and data rates from your carrier may apply. You can opt out at any time by replying “STOP.” Monlove is not responsible for carrier charges incurred as a result of a promotion.

DISPUTE RESOLUTION

If a dispute arises out of or relates to the Website or this Agreement, we encourage you to first contact us at termsofuse@monlove.com so we can try to resolve it informally. This Agreement is governed by the laws of Québec and the applicable federal laws of Canada. Subject to any rights you may have under applicable consumer protection law, you and Monlove agree to submit to the exclusive jurisdiction of the courts of the district of Montréal, Québec.

DISCLAIMER OF WARRANTIES

THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, TO THE FULLEST EXTENT PERMITTED BY LAW. MONLOVE DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT IS ACCURATE, COMPLETE, OR CURRENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, MONLOVE AND ITS AFFILIATES, LICENSORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE WEBSITE, INCLUDING LOSS OF DATA, PROFITS, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THIS TYPE OF LIMITATION, SO IT MAY NOT APPLY TO YOU. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE WEBSITE IS TO STOP USING IT.

GENERAL PROVISIONS

  1. Updates to this Agreement We may update this Agreement at any time by posting a revised version on the Website with a new “Last Modified” date. Continued use of the Website after an update constitutes your acceptance of it.
  2. Indemnity You agree to indemnify and hold Monlove harmless from claims, damages, and expenses (including reasonable legal fees) arising from your breach of this Agreement, your User-Generated Content, or your misuse of the Website.
  3. International Use Monlove operates the Website from Canada and makes no representation that it is appropriate for use elsewhere. If you access the Website from outside Canada, you do so on your own initiative and are responsible for compliance with local laws.
  4. Severability and Interpretation If any provision of this Agreement is found unenforceable, the remaining provisions will remain in full force and effect. The word “including” means “including, without limitation.”
  5. Assignment Monlove may assign this Agreement at any time without notice. You may not assign or transfer your rights or obligations under this Agreement without our prior written consent.
  6. No Waiver No failure or delay by either party in exercising any right under this Agreement operates as a waiver of that right.
